Terms of Service

1. Agreement to Terms

By accessing or using the Conseto platform, website (conseto.io), dashboard (app.conseto.io), documentation (conseto.io/docs), the Conseto mobile app, APIs, SDKs, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and STENVARD s.r.o., a company registered in the Slovak Republic under IČO 57 713 880, with its registered address at Solivarská 14E, 080 05 Prešov, Slovak Republic ("Conseto," "we," "us," or "our").

These Terms apply to all users who access or use the Services. By using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

The Services are intended exclusively for businesses and organizations that use them in the course of their business or other professional activity, including running their own website. By registering, you confirm that you are not acting as a consumer. If you are not a business, the parties have agreed under Section 262(1) of the Slovak Commercial Code that their relationship is governed by the Commercial Code.

This version takes effect on October 6, 2026 for contracts concluded from that day. For customers who accepted the previous version, it takes effect on November 5, 2026; until then their contract is governed by the previous version.

2. Service Description

Conseto is a Site Growth Platform that provides a unified layer for analytics, compliance, security, and marketing through a single script integration. The Services include:

• Analytics: Website analytics, event tracking, visit overviews, real-time dashboards, e-commerce tracking, scroll depth, file download tracking, outbound link tracking, form tracking, page time measurement, and AI-powered traffic detection
• Compliance: Cookie consent management, consent banner customization, Consent Mode v2 integration, GDPR compliance tools, a legal document generator, consent analytics, bot filtering, and compliance auditing
• Security: Website security scanning and third-party script auditing, currently in development and not yet available
• Marketing: Marketing attribution, campaign performance analytics, currently in development and not yet available; UTM builder and link tracking are available today
• Intelligence: An agent that answers questions about your own data, with the query behind each answer shown alongside it
• Integrations: Shopify (a script added to theme.liquid; a Shopify App is in development), server-side event forwarding to GA4, Meta (Conversions API), TikTok and LinkedIn, Google Tag Manager, Meta Pixel, Google Ads, and WooCommerce

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes where practicable.

2.1 Artificial Intelligence Features

Ask and the legal document generator use a language model. Answers and generated texts may be inaccurate or incomplete; with every Ask answer you see the query it stands on and can check the numbers. A document from the generator is a draft written by artificial intelligence, not legal advice; have it reviewed by a professional before you publish it. You are responsible for the content of a document you publish.

3. Account Registration and Responsibilities

3.1 Registration

To access most features of the Services, you must create an account at app.conseto.io. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys (prefixed csk_). You must immediately notify us at support@conseto.io if you suspect any unauthorized access to your account. You are responsible for all activities that occur under your account.

3.3 Account Types

Team members have one of three roles in a project (admin, editor, viewer) with different permission levels. The account creator is the initial admin and is responsible for managing team member access and permissions. Team features are available on Starter plans and above.

3.4 Age Requirement

An account may be created and the Services used only by a person who is at least 18 years old (or the age of majority in their jurisdiction) and acts for a business or organization under Section 1.

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription tiers:

Plan details, features, and limits are described on our pricing page. We reserve the right to modify plans and pricing with at least 30 days' advance notice. Existing subscriptions will honor the current pricing until the next renewal cycle.

4.2 Billing and Payments

Paid subscriptions are billed in advance, monthly or yearly. While we onboard our first customers we invoice them directly rather than charging a card, so a paid plan starts with an invoice from us and not with a checkout form. Prices are shown in euros excluding VAT. We add VAT under the rules in force on the date of supply and according to the country of your registered office. For customers based in Slovakia we charge Slovak VAT, currently at 23%. For customers based in the Czech Republic we charge no VAT while our supplies to the Czech Republic can be exempt under the special scheme for small enterprises (Article 284 of Council Directive 2006/112/EC, in Slovakia Section 68g of Act No. 222/2004 Coll.); our invoices then carry the individual identification number SK2123015334-EX. If this option ends, we will charge VAT under the rules in force at the time of supply and will tell you in advance. We do not yet provide paid plans to customers based in other countries. STENVARD s.r.o. is a VAT payer, VAT ID SK2123015334.

4.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel auto-renewal at any time through your account settings at app.conseto.io. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.

4.4 Refunds

Fees paid are non-refundable, except where applicable law requires otherwise.

4.5 Overages

If you exceed your plan's session or audit limits, we will notify you and may temporarily restrict data collection until you upgrade your plan. We will not charge overage fees without your prior consent.

4.6 Free Tier

The Free plan is available indefinitely with the published feature limits. We reserve the right to modify Free plan limits with 30 days' notice.

5. Data Processing

5.1 Roles

When you use the Services to collect data from your website visitors, you are the data controller and Conseto is the data processor acting on your behalf and under your instructions. You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including obtaining necessary consents from your website visitors.

If a visitor to your website refuses consent, the Conseto script sends no analytics or marketing events; it records only the visitor's decision itself, so that you can prove it. This behavior cannot be switched off in the settings.

5.2 Data Processing Agreement

Our Data Processing Agreement governs the processing of personal data on your behalf and forms an integral part of these Terms. By using the Services, you accept the terms of the DPA.

5.3 Your Obligations as Controller

• Ensure a lawful basis exists for processing visitor data (e.g., consent, legitimate interest)
• Provide a privacy policy on your website that discloses your use of Conseto
• Configure the consent banner appropriately for your jurisdiction
• Respond to data subject requests from your website visitors
• Not collect special category (sensitive) data through the Services unless explicitly permitted

5.4 Conseto's Own Data

For data we collect about you as our customer (account data, billing information, usage of our dashboard), Conseto acts as the data controller. Our Privacy Policy describes this processing.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Collect personal data without a proper legal basis or required consent
• Track individuals without appropriate privacy disclosures
• Transmit malware, viruses, or harmful code through the SDK or API
• Attempt to gain unauthorized access to our systems, other accounts, or data
• Reverse engineer, decompile, or disassemble the Services or SDK
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to benchmark or build a competing product
• Send spam, phishing, or deceptive communications through our Services
• Use the AI features to generate harmful, misleading, or illegal content
• Circumvent any rate limits, usage quotas, or technical restrictions
• Resell or redistribute access to the Services without authorization

We reserve the right to investigate violations and may suspend or terminate accounts that breach this policy without prior notice for severe violations.

7. Intellectual Property

7.1 Our Intellectual Property

The platform, the SDK, the APIs, and the software behind them were created by Norbert Kovalčín, who holds the copyright in them. STENVARD s.r.o. operates the platform and provides the Services with the author's consent and is the party you contract with. The Services, including the platform, SDK, APIs, documentation, branding, and design, are protected by copyright and other intellectual property laws. STENVARD s.r.o. uses the Conseto name, logo, and related marks as its trade designations; you may not use them without our consent.

7.2 Your Data

You retain all rights to your data. By using the Services, you grant us a limited, non-exclusive, worldwide license to process, store, and display your data solely as necessary to provide the Services. This license terminates when you delete your data or close your account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a non-exclusive, perpetual, irrevocable license to use that feedback to improve the Services without obligation to you.

7.4 Right to Use the SDK

With the author's consent, we grant you a limited, non-exclusive, and non-transferable right to embed the Conseto SDK (conseto.min.js) on your websites solely for the purpose of using the Services in accordance with these Terms.

8. Service Availability and Support

8.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, security patches, or due to circumstances beyond our reasonable control. We will provide advance notice of scheduled maintenance where practicable.

8.2 Support

Support is provided via email at support@conseto.io. Response times and support levels vary by subscription plan. Enterprise customers may negotiate custom SLAs.

8.3 Scope of the Services

We provide the Services in the scope and condition described in these Terms and on conseto.io. We do not guarantee that they will be uninterrupted and error-free, or that they will meet requirements you have not told us about in writing in advance. Measurement and audit results and the answers of Ask are input for your decisions, not a legal or other professional assessment.

9. Limitation of Liability

9.1 We are liable for damage under Sections 373 et seq. of the Slovak Commercial Code. Under Section 379 of the Commercial Code, the parties have agreed that the total damage foreseeable as a possible consequence of a breach of our obligations under these Terms does not exceed the amount you paid us for the Services in the 12 months before the event that gave rise to the claim, and in any case not less than EUR 100. The parties consider lost profit, and loss of data you could have prevented by exporting it, to be unforeseeable damage, unless we were notified in writing of that possibility when the contract was concluded.

9.2 The limitation under Section 9.1 does not apply to damage caused intentionally or by gross negligence, nor where a mandatory provision of law rules it out. It is not a waiver of the right to compensation for damage under Section 386(1) of the Commercial Code.

10. Indemnification

You will compensate us for the damage and reasonable costs, including legal fees, that arise to us from claims of third parties (in particular visitors to your website or supervisory authorities), where they were caused by your breach of these Terms, the DPA, or the law in using the Services. We will tell you about such a claim without undue delay and let you take part in handling it.

11. Termination and Data Deletion

11.1 Termination by You

You can delete your account at any time at app.conseto.io under Settings, Preferences (Danger Zone), in the mobile app, or by asking us at support@conseto.io. If you have an active paid subscription, cancel it first; the contract for a paid plan ends when the paid period runs out. Deleting the account is immediate and irreversible: in a single step it deletes the account, the projects you own, and all data in them, including the data about the visitors to your websites. If you want to keep the data, export it before you delete the account.

11.2 Termination by Us

We may suspend or terminate your access to the Services if:

• You breach these Terms and fail to cure the breach within 14 days of notice
• You engage in a severe violation of the Acceptable Use Policy (immediate termination)
• Your account remains inactive for more than 12 months on the Free plan
• We are required to do so by law

11.3 Effect of Termination

If the contract ends other than by you deleting your account, your right to use the Services ends and we will:

• Stop collecting data from your websites within 24 hours
• Let you export your data for 30 days
• Then delete it from our active systems, no later than 90 days after the contract ends
• Let it drop out of the encrypted backups as they are rotated

We keep invoices after the contract ends, because accounting and tax law require us to.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by:

• Email to the address associated with your account (at least 30 days in advance)
• Prominent notice within the dashboard
• Updating the "Effective" date at the top of this page

Your continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not agree with the changes, you may stop using the Services and delete your account before the changes take effect.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Jurisdiction

Any disputes arising from or relating to these Terms shall be decided by the court with subject-matter jurisdiction for the registered office of STENVARD s.r.o.

13.3 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Entire Agreement

These Terms, together with the DPA, constitute the entire agreement between you and Conseto regarding the Services and supersede all prior agreements. The Privacy Policy is not part of the contract; it informs you how we process your personal data.
